General terms and conditions

1. Scope and contracting parties
These terms govern use of the Orgazee software-as-a-service platform between Dennis Braß, sole proprietorship, Rudolfstr. 105, 42285 Wuppertal, Germany (the provider), and the registered organisation (the customer).
Orgazee is offered exclusively to clubs, associations, federations, umbrella organisations, societies and comparable organisations. The organisation is the contracting party. Individuals register and use Orgazee only as authorized representatives or persons acting on the customer’s behalf. Private consumer use is not the subject of the contract.
Invited members, board members, employees and other people become users of the organisation and do not thereby enter into a separate contract with Orgazee.
2. Registration, authority and roles
The person registering must be authorized to create an Orgazee account for the organisation or perform the registration on its behalf.
The customer is responsible for accurate organisation details, account administration, allocation of roles and permissions, and invitations to other users. Credentials must be kept confidential and protected from unauthorized access.
3. Orgazee services
Orgazee is cloud-based software for club and federation administration. The platform includes membership management, finances, calendars, tasks, minutes, votes, public club pages, the App Center, Orgazee storage and other activated functions.
The App Center is included in every plan. Apps and functional areas available for activation may vary by club type, plan size, technical availability and development status.
External costs are included only when expressly stated. These may include fees charged by external payment, banking, cloud, delivery or communication providers, as well as postage and shipping costs.
4. Trial and paid contract
The customer can try Orgazee free for 14 days from email confirmation. No payment details are needed for registration. A paid contract does not arise automatically when the trial ends.
A paid subscription starts only when the customer actively selects a plan, provides the required billing or payment details and completes checkout or an equivalent paid order.
5. Prices, payment and invoices
Prices follow the published website price list or an individually agreed offer. The conditions shown at checkout, in the offer or in the contract are binding.
Paid plans are billed through Stripe or another specified payment method. Payment details are processed by the payment provider and are not permanently stored by Orgazee. Invoices and receipts are provided electronically. VAT is shown at checkout and on the invoice where applicable.
6. Customer duties
The customer must use Orgazee lawfully and must not publish or process unlawful, insulting, discriminatory, copyright-infringing or otherwise prohibited content.
The customer ensures a lawful basis for processing club, member and contact information and informs invited users and data subjects where data protection rules require it.
The customer independently checks whether its public club page requires its own legal notice, privacy policy or other mandatory information. Automatically generated content, minutes, texts, invoice details and other results must be checked before binding use.
7. Content and public club pages
The customer is responsible for all content it or its users enter into Orgazee or publish on public club pages. Orgazee provides the technical platform.
The customer indemnifies the provider against third-party claims arising from unlawful content, incorrect publication or unlawful customer use, to the extent the customer is responsible for the breach.
8. Privacy and processing on behalf of customers
Personal data is processed according to the Orgazee privacy policy. Where Orgazee processes personal data on the customer’s behalf, the data processing agreement and technical and organisational measures also apply. The customer remains responsible for the lawfulness of processing its club data.
9. Automated functions, documents and electronic signatures
Automated functions can assist authorized users with organisational work, texts, minutes and reports. They do not make binding decisions for the customer or replace legal, tax, medical or other professional advice.
PDFs, minutes and simple electronic signatures created in Orgazee support digital club work. Unless specifically agreed otherwise, they are not qualified electronic signatures satisfying special statutory form requirements.
10. Availability and maintenance
The provider supplies Orgazee on a best-efforts basis. No specific availability is guaranteed unless expressly agreed. Maintenance, security updates, technical faults or protective measures may cause temporary restrictions. The provider seeks to minimize disruption.
11. Duration, plan changes and cancellation
Paid subscriptions run monthly unless otherwise agreed and can be cancelled at the end of the current billing period. Cancellation is available in the customer account or by email to info@orgazee.com.
After the contract ends, access to paid functions may be restricted or terminated. The customer should export required data before the end of the contract. Statutory retention and deletion duties remain unaffected.
12. Warranty and liability
The provider has unlimited liability for injury to life, body or health, and for intent or gross negligence.
For minor negligence, the provider is liable only for breaches of essential contractual duties; liability is then limited to foreseeable damage typical of the contract. Liability for lost profit, indirect damage, data loss or consequential damage is excluded insofar as legally permitted and where unlimited liability does not apply.
13. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Where the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Wuppertal.
If a provision is or becomes invalid, the remaining provisions remain effective. The invalid provision is replaced by the legally permissible rule closest to its economic purpose.
